Welcome to Creativoxa! These Terms and Conditions ("Terms", "Agreement") govern your use of our website (https://creativoxa.in/) and the services provided by Creativoxa ("we," "us," "our," or "the Agency").

By accessing our website, hiring us for a project, or engaging our services, you ("the Client," "you") agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

1. Scope of Services

Creativoxa provides digital marketing, web design and development, and videography services. The specific details, deliverables, timelines, and costs of your project will be outlined in a separate Statement of Work (SOW), formal quotation, or service agreement provided to you before the commencement of the project.

2. Client Responsibilities & Obligations

To ensure the timely and successful delivery of our services, the Client agrees to:

  • Provide all necessary materials, including text, logos, branding guidelines, images, and credentials (hosting, social media, etc.) in a timely manner.
  • Provide prompt feedback and approvals during the design, development, or editing phases.
  • Understand that any delays in providing necessary materials or feedback may result in corresponding delays to the project's timeline, for which Creativoxa will not be held liable.

3. Payment Terms and Billing

  • Pricing: All prices quoted are valid for 30 days from the date of the estimate unless stated otherwise.
  • Deposits: Most projects (including Web Development and Videography) require a non-refundable upfront deposit before work commences. The exact percentage will be outlined in your proposal.
  • Invoicing: Milestone payments or monthly retainer invoices are due upon receipt.
  • Late Payments: Creativoxa reserves the right to suspend ongoing services, pause ad campaigns, or withhold final file delivery/website launches if payments are delayed beyond the agreed-upon due date.
  • Taxes: All fees are exclusive of applicable taxes (such as GST) unless explicitly stated otherwise in the invoice.

4. Intellectual Property Rights

  • Client Ownership: Upon full and final payment of all invoices, the Client will own the copyright to the final approved deliverables (e.g., the final website design, the final edited video, final ad creatives).
  • Agency Rights: Creativoxa retains the rights to all draft concepts, raw video footage, source codes, and working files unless explicitly transferred in writing.
  • Portfolio Usage: Creativoxa reserves the right to use the completed project, including website screenshots, video snippets, and performance statistics, in our portfolio, case studies, social media, and marketing materials, unless a Non-Disclosure Agreement (NDA) is signed prior to the project's start.

5. Service-Specific Disclaimers

  • Digital Marketing & SEO: Search engines (like Google) and social media platforms frequently change their algorithms. While we utilize industry best practices and proven strategies to improve your digital presence, Creativoxa does not guarantee specific rankings, traffic volumes, or sales ROI.
  • Web Development: We build websites to be compatible with current, modern web browsers. We cannot guarantee compatibility with outdated browsers or future browser updates that occur after the website is launched.
  • Videography: Creativoxa is not responsible for shooting delays caused by factors outside our control, such as extreme weather, unavailability of client-provided talent, or venue restrictions.

6. Third-Party Services & Fees

Our services may require the use of third-party platforms, plugins, domain registrars, hosting providers, or ad networks (e.g., Google Ads, Meta Ads).

  • The Client is solely responsible for any third-party fees, ad budgets, or software subscriptions.
  • Creativoxa is not responsible for any changes, bugs, policy updates, or downtimes caused by these third-party entities.

7. Confidentiality

Both Creativoxa and the Client agree to keep all sensitive business information, trade secrets, login credentials, and proprietary data strictly confidential. We will not share your private data with third parties outside of what is necessary to perform our contracted services.

8. Limitation of Liability

To the fullest extent permitted by law, Creativoxa shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunities arising out of your use of our services. In any event, Creativoxa’s maximum liability under this Agreement shall not exceed the total amount paid by the Client to Creativoxa for the specific service in dispute.

9. Cancellations and Refunds

All cancellations and refund requests are governed by our separate Refund and Cancellation Policy. Please review that page for detailed information on terminating a project or retainer.

10. Termination

Creativoxa reserves the right to terminate a project or service agreement at any time if:

  • The Client breaches these Terms.
  • The Client acts in an abusive, threatening, or unprofessional manner toward our team.
  • The Client fails to pay invoices after repeated reminders.

Upon termination, the Client will be billed for all work completed up to the date of cancellation.

11. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Siliguri, West Bengal.

12. Amendments to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Any changes will be posted on this page with an updated "Effective Date." Continued use of our website or services after any modifications indicates your acceptance of the new Terms.
